Terms & Conditions

These terms apply when you engage Ohma Digital for website and related digital services.

1. Services

We provide website and related digital services as agreed in your proposal, quote, invoice, or written agreement.

Our standard public offer is the Website Growth & Care Plan. We focus on service business websites and ongoing website care. We do not provide ecommerce builds or custom software under this service.

2. Quotes and Scope

Quotes are valid for 30 days unless otherwise stated.

The plan covers the website and the inclusions described in your agreement. Routine website care is included. Work outside our normal website care scope may be declined or handled only if agreed separately in writing.

3. Fees and Payment

Fees are in AUD.

  • The Website Growth & Care Plan is billed in advance
  • You may pay monthly or yearly if that option is offered
  • The plan has a 12-month minimum term
  • Late payment may result in service suspension

4. Client Responsibilities

You agree to provide timely feedback, approvals, and required content, and to ensure you have rights to materials supplied.

Delays in approvals or missing content may affect timelines.

5. Edits and Ongoing Scope

The plan includes unlimited small website edits with a typical 48-hour turnaround.

Small edits include routine website updates such as text changes, image swaps, testimonial updates, staff changes, service details, opening hours, contact details, and similar page-level edits.

6. Intellectual Property and Ownership

You retain ownership of your domain name, logo, brand assets, photos, written content, Google accounts, reviews, customer data, and email accounts.

Unless otherwise agreed in writing, the website build, hosting setup, chatbot setup, monitoring, and other managed-service deliverables remain part of our ongoing service while the plan is active.

After 12 paid months, you may request a website transfer for a $997 buyout fee. Transfer work begins once all outstanding fees, including the buyout fee, are paid in full.

7. Third-Party Services

Your website may rely on external providers and platforms. We are not responsible for third-party outages, policy changes, or pricing changes outside our control.

8. Cancellation and Suspension

  • The plan has a 12-month minimum term
  • After the initial 12 paid months, you may cancel with 30 days written notice
  • When a managed service ends, hosting, monitoring, chatbot service, and related managed tools may be removed or disabled at the end of the notice period unless otherwise agreed in writing
  • If you choose the website transfer buyout, migration timing depends on payment in full and access cooperation from both parties
  • We may suspend services for non-payment or unlawful use

9. Liability

We provide services with due care and skill. To the extent permitted by law, our liability is limited to fees paid for the affected service.

Nothing in these terms excludes rights that cannot be excluded under Australian Consumer Law.

10. Governing Law

These terms are governed by the laws of South Australia, Australia. Disputes are subject to the courts of South Australia.
